UTILIZING A VIRTUAL PRIVATE NETWORK OR OTHER METHOD TO CONCEAL A USER'S RESTRICTED TERRITORY RESIDENCE IS ALSO STRICTLY PROHIBITED AND MAY RESULT IN PERMANENT BLOCKING OF USE OF THE SITE IN CONNECTION WITH BLOCKCHAIN ADDRESSES SUSPECTED OF BEING TIED TO A RESTRICTED TERRITORY RESIDENCE.
Please review these Terms of Use ("Terms") carefully, as they are a legally binding agreement between "you" and Company (as defined below) and govern your use of our website located at https://www.uraniumdigital.com/ ("Website"), access to our website-hosted user interface located at https://app.uraniumdigital.com/ (the "Interface" or "App"), together with related trademarks, software code, and other intellectual property (to make these Terms easier to read, the Website, App, our other intellectual property, and our services are collectively called the "Site"). These Terms expressly cover your rights and obligations, and our disclaimers and limitations of legal liability, relating to your use of, and access to, the Site.
The Sites are copyrighted works belonging to Takara Ventures Ltd. ("Company," "us," "our," and "we"), a Bahamian International Business Company. The Company is a technology company that develops software infrastructure. It is not a financial services company, though it may partner with financial services companies to help provide its services. Your submission of information, including personally identifiable information or personal data ("Personal Data"), through or in connection with the Site is governed by the terms of our privacy policy as updated from time to time ("Privacy Policy"). The legally binding terms and conditions that govern the provision and your use of the uranium receipts minted and redeemed by an affiliate of the Company, Uranium Digital Holding LLC, a Delaware limited liability company, an entity structured as a bankruptcy remote vehicle ("UDH", and together with the Company, "Uranium Digital"), known as the Uranium Receipts (the "Uranium Receipts" or "UR") are governed by the Uranium Receipts Terms and Conditions (the "UR Terms"). All such additional terms, guidelines, and rules, including our Privacy Policy and UR Terms, are incorporated by reference into these Terms.
IMPORTANT NOTICE REGARDING ARBITRATION: WHEN YOU AGREE TO THESE TERMS YOU ARE AGREEING (WITH LIMITED EXCEPTION) TO RESOLVE ANY DISPUTE BETWEEN YOU AND URANIUM DIGITAL THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT. PLEASE REVIEW CAREFULLY SECTION 20 (DISPUTE RESOLUTION & ARBITRATION) BELOW FOR DETAILS REGARDING ARBITRATION. HOWEVER, IF YOU ARE A RESIDENT OF A JURISDICTION WHERE APPLICABLE LAW PROHIBITS ARBITRATION OF DISPUTES, THE AGREEMENT TO ARBITRATE IN SECTION 20 WILL NOT APPLY TO YOU BUT THE PROVISIONS OF SECTION 21 (GOVERNING LAW) WILL APPLY INSTEAD.
Please carefully review the disclosures and disclaimers set forth in Section 18 in their entirety before using any software initially developed by Uranium Digital. The information in Section 18 provides important details about the legal obligations associated with your use of the Site.
1. Agreement to Terms
By accessing and using our Site, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, you are not authorized to use the Site. Because our Site is evolving over time, we may change or discontinue all or any part of the Site, at any time, and without notice, at our sole discretion.
2. Privacy Policy
Please review our Privacy Policy, which also governs your use of the Site, for information on how we collect, use and share your information.
3. Description of the Interface
The Interface, which is hosted by the Company, is a web interface that provides an application through which our users ("User") may have the ability to interact with (i) several protocols through a wallet maintained with an Account Provider (as defined below), and (ii) services and accounts provided by other Third-Party Service Providers (as defined below).
4. Third Party Service Providers
In order to facilitate the exchange of Users' fiat currency into Uranium Receipts, as well as Redemption (as defined in the UR Terms) and Issuance (as defined in the UR Terms) features, the Interface integrates third party custodial payment and exchange services (each, a "Third-Party Service Provider"). The terms of use, terms of service, privacy policies, and any other agreements between a User and any Third-Party Service Provider governing that User's use of such Third-Party Service Provider's services are collectively referred to herein as the "Third-Party Service Provider Terms." Uranium Digital does not receive, hold, or process fiat currency or custodial digital assets at any stage of the below described Third-Party Service Provider transactions. Users acknowledge and agree that all such purchases are subject to the applicable Third-Party Service Provider Terms, and Uranium Digital disclaims any liability for processing errors, delays, or other issues arising from the use of these services. Any custody, wallet, or settlement services are provided exclusively by such Third-Party Service Providers pursuant to the applicable Third-Party Service Provider Terms, and not by the Company. Any segregation, attribution, or "account" designation is operational or accounting in nature and does not necessarily create a trust, bailment, custodial, or fiduciary relationship in your favor. The Company makes no representation or warranty regarding the legal treatment, priority, or protection of any assets held with any other Third-Party Service Provider in the event of insolvency, liquidation, or similar proceedings involving such provider.
i. Trading. The Interface allows Users to purchase and sell Uranium Receipts (such functionality, the "Trading Product"). The Trading Product is operated by a Third-Party Service Provider approved by Uranium Digital that provides trading and prime brokerage technology (currently, [Andromeda Global, Inc.]). Uranium Digital does not operate the Trading Product. In connection with the Trading Product, a User may be required to complete the Trading Product Third-Party Service Provider's customer onboarding, including completing its know-your-customer ("KYC") procedures to such provider's satisfaction. Additional terms and conditions concerning the Trading Product may be provided by, and are governed by, the applicable Third-Party Service Provider's Third-Party Service Provider Terms.
ii. Physical Settlement Wallets. Digital assets or receipts, including Uranium Receipts, intended to be used for settlement of physical uranium, including Redemptions and Issuances (as both terms are described in the UR Terms), are deposited or stored by Users in a Uranium Digital Platform settlement account ("Settlement Account"). Such assets or tokens deposited in a Settlement Account are held in multi-party computation (MPC) wallets provided by Fireblocks Ltd. ("Fireblocks") and may be held in omnibus or consolidated wallet arrangements, with internal, back-end accounting attribution. Such wallets are not controlled or operated by Uranium Digital and are governed by the Third-Party Service Provider Terms provided by Fireblocks.
iii. Deposit Account and Wallet Services. In order to use the Site, a User must obtain and maintain a deposit account and a corresponding digital asset custody account (a "Wallet"), with a bank or other financial institution that has been approved by Uranium Digital as a Third-Party Service Provider for purposes of providing custody, banking, and money-movement services in connection with the Site (each such institution, an "Account Provider"). Anchorage is an approved Account Provider, and Uranium Digital may, in its sole discretion, approve additional Account Providers from time to time. Each User must complete the applicable Account Provider's own onboarding and KYC/KYB requirements to the Account Provider's satisfaction and at the Account Provider's sole discretion, and must provide Uranium Digital with the applicable client identifier and any other information requested by Uranium Digital to link that User's Account Provider account, including such User's Wallet, to the Site. The Account Provider may charge Users fees for its services. Uranium Digital does not collect or have control over any such fees, nor does Uranium Digital operate or have any control over such Account Provider's services. By linking your deposit account and/or Wallet to our Site, you agree to be bound by this Agreement and all of the terms incorporated herein by reference. You represent and warrant that you are the exclusive owner and controller of the deposit account and Wallet. You are responsible for all activities that occur under your account and for maintaining the confidentiality of any financial information related to your deposit account and Wallet. You understand that your relationship with the Account Provider with respect to your Wallet and deposit account is governed by the applicable Third-Party Service Provider Terms of such Account Provider.
iv. Funding Account and Display of Account Information. To facilitate funding of a User's deposit account with the applicable Account Provider, you may link an external bank account (such as a checking or other deposit account held with a third-party bank) to your Account Provider account, and transfer U.S. dollars to and from such linked external account via wire transfer, ACH transfer, or such other method as may be supported by the applicable Account Provider from time to time. Uranium Digital does not receive, hold, or have the ability to transfer or withdraw any funds transferred between a User's linked external account and the User's account with the Account Provider, and all such transfers occur solely through the Account Provider's own platform pursuant to the applicable Third-Party Service Provider Terms. Uranium Digital does not receive, hold, or have the ability to transfer or withdraw any fiat currency or assets in connection with the Site. All account statements relating to a User's funds and assets held by the Account Provider are available solely through the applicable Account Provider's own platform, and not through the Site. You acknowledge and agree that all balance, position, and account information displayed through the Site is provided to Uranium Digital by the applicable Account Provider (including via a shared client identifier or similar credential), that Uranium Digital does not independently verify such information, and that Uranium Digital disclaims any liability for any inaccuracy, delay, or interruption in such information.
5. Site
The Site functionality consists of providing a central limit order book and trade matching and routing functionality, connecting you to the Trading Product and other Third-Party Service Providers' services, displaying the balances and positions of your deposit account and Wallet with your Account Provider (as reported to Uranium Digital by the applicable Account Provider), and facilitating the submission of Issuance and Redemption instructions. Without limiting any other rights Uranium Digital has under these Terms, Uranium Digital may, in its sole discretion, pause or decline to provide the Site to a User if: (a) such User violates the applicable Third-Party Service Provider Terms; (b) the applicable Account Provider is not, or is no longer, approved by Uranium Digital; or (c) such User otherwise ceases to maintain an account in good standing with an approved Account Provider.

iii. You agree and acknowledge that Uranium Digital may review any necessary information to comply with applicable law and/or its internal compliance standards including monitoring activity associated with your Wallet or deposit account. If you are obligated to indemnify any Indemnified Party, Uranium Digital (or, at its discretion, the applicable Indemnified Party) will have the right, in its sole discretion, to control any action or proceeding and to determine whether Uranium Digital wishes to settle, and if so, on what terms, and you agree to cooperate with Uranium Digital in the defense. You may not settle or otherwise compromise any claim subject to this section without Uranium Digital's prior written approval.
18. Disclosures; Disclaimers
i. The disclaimer of implied warranties contained herein may not apply if and to the extent such warranties cannot be excluded or limited under the Applicable Law of the jurisdiction in which you reside. THE SITE IS PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS, AND URANIUM DIGITAL (AND OUR SUPPLIERS) EXPRESSLY DISCLAIM ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. WE (AND OUR SUPPLIERS) MAKE NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SITE, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO NINETY (90) DAYS FROM THE DATE OF FIRST USE.
ii. URANIUM DIGITAL DOES NOT ENDORSE ANY OTHER THIRD PARTY AND SHALL NOT BE RESPONSIBLE IN ANY WAY FOR ANY TRANSACTIONS YOU ENTER INTO WITH OTHER USERS OR THROUGH THIRD-PARTY SERVICE PROVIDERS. YOU AGREE THAT URANIUM DIGITAL WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGES OF ANY SORT INCURRED AS THE RESULT OF ANY INTERACTIONS BETWEEN YOU AND OTHER USERS OR THIRD-PARTY SERVICE PROVIDERS.
iii. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
19. Limitation of Liability
i. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER URANIUM DIGITAL NOR ITS SERVICE PROVIDERS INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SERVICES WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, OR DAMAGES FOR LOST PROFITS, LOST REVENUES, LOST SAVINGS, LOST BUSINESS OPPORTUNITY, LOSS OF DATA OR GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE OR SYSTEM FAILURE, OR THE COST OF SUBSTITUTE SERVICES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT URANIUM DIGITAL OR ITS SERVICE PROVIDERS HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
ii. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE AGGREGATE TOTAL LIABILITY OF URANIUM DIGITAL AND ITS AGENTS, REPRESENTATIVES, AND AFFILIATES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE URANIUM RECEIPT, OR FROM THE USE OF OR INABILITY TO USE THE SERVICES, EXCEED THE AMOUNTS YOU HAVE PAID OR ARE PAYABLE BY YOU TO URANIUM DIGITAL FOR USE OF THE SERVICES OR ONE HUNDRED U.S. DOLLARS ($100), IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO URANIUM DIGITAL, AS APPLICABLE.
iii. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN URANIUM DIGITAL AND YOU.
20. Dispute Resolution & Arbitration
i. Please read this Arbitration Agreement carefully. It is part of your contract with Uranium Digital and affects your rights. It contains procedures for mandatory binding arbitration and a class action waiver.
a) Applicability of Arbitration Agreement. All claims and disputes (excluding claims for injunctive or other equitable relief as set forth below) between Uranium Digital and any User that cannot be resolved informally or in small claims court shall be resolved solely by binding arbitration on an individual basis under the terms of this Arbitration Agreement, and not in a class, representative, or consolidated action or proceeding. Unless otherwise agreed to, all arbitration proceedings shall be held in English. This Arbitration Agreement applies to you and Uranium Digital, and to any subsidiaries, affiliates, agents, employees, predecessors in interest, successors, and assigns, as well as all authorized or unauthorized users or beneficiaries of services or goods provided under the Terms. Notwithstanding the foregoing, We retain the right to seek injunctive or other equitable relief from a court to prevent (or enjoin) the infringement or misappropriation of our intellectual property rights at any time.
b) Notice Requirement and Informal Dispute Resolution. Before either party may seek arbitration, the party must first send to the other party a written Notice of Dispute ("Notice") describing the nature and basis of the claim or dispute, and the requested relief. Each party hereby irrevocably and unconditionally consents to service of process through personal service at their corporate headquarters, registered address, or primary address (for individuals or sole proprietors). Nothing in these Terms will affect the right of any party to serve process in any other manner permitted by Law. After the Notice is received, you and Uranium Digital must first attempt to resolve the claim or dispute informally. Neither you nor Uranium Digital may start a formal arbitration proceeding for at least sixty (60) days after one party notifies the other party of a claim in writing. If you and Uranium Digital do not resolve the claim or dispute within sixty (60) days after the Notice is received, either party may begin an arbitration proceeding. The amount of any settlement offer made by any party may not be disclosed to the arbitrator until after the arbitrator has determined the amount of the award, if any, to which either party is entitled.
c) Arbitration Rules. Arbitration shall be initiated through an established alternative dispute resolution provider ("ADR Provider") located in the Commonwealth of The Bahamas that offers arbitration as set forth in this section. If both parties mutually agree or if an ADR Provider that offers arbitration as set forth in this section is not available, then both parties shall mutually elect an ADR Provider in another jurisdiction that offers arbitration as set forth in this section. The rules of the ADR Provider shall govern all aspects of the arbitration, including but not limited to the method of initiating and/or demanding arbitration, except to the extent such rules are in conflict with the Terms. The arbitration shall be conducted by a single, neutral arbitrator. Any claims or disputes where the total amount of the award sought is less than Ten Thousand U.S. Dollars (US $10,000.00) may be resolved through binding non-appearance-based arbitration, at the option of the party seeking relief. For claims or disputes where the total amount of the award sought is Ten Thousand U.S. Dollars (US $10,000.00) or more, the right to a hearing will be determined by the ADR Provider's arbitration rules ("Arbitration Rules"). Any hearing will be held in the Commonwealth of The Bahamas, unless the parties agree otherwise. If you reside outside of the Commonwealth of the Bahamas, the arbitrator shall give the parties reasonable notice of the date, time, and place of any oral hearings. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Each party shall bear its own costs (including attorney's fees) and disbursements arising out of the arbitration and shall pay an equal share of the fees and costs of the ADR Provider.
d) Additional Rules for Non-Appearance Based Arbitration. If non-appearance-based arbitration is elected, the arbitration shall be conducted by telephone, online and/or based solely on written submissions; the specific manner shall be chosen by the party initiating the arbitration. The arbitration shall not involve any personal appearance by the parties or witnesses unless otherwise agreed by the parties.
e) Time Limits. If you or Uranium Digital pursue arbitration, the arbitration action must be initiated and/or demanded within the statute of limitations (i.e., the legal deadline for filing a claim) and within any deadline imposed under the Arbitration Rules for the pertinent claim.
f) Authority of Arbitrator. If arbitration is initiated, the arbitrator will decide the rights and liabilities, if any, of you and Uranium Digital, and the dispute will not be consolidated with any other matters or joined with any other cases or parties. The arbitrator shall have the authority to grant motions dispositive of all or part of any claim. The arbitrator shall have the authority to award monetary damages, and to grant any non-monetary remedy or relief available to an individual under applicable law, the Arbitration Rules, and the Terms. The arbitrator shall issue a written award and statement of decision describing the essential findings and conclusions on which the award is based, including the calculation of any damages awarded. The arbitrator has the same authority to award relief on an individual basis that a judge in a court of law would have. The award of the arbitrator is final and binding upon you and Uranium Digital.
g) Waiver of Jury Trial. THE PARTIES HEREBY WAIVE THEIR CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY, INSTEAD ELECTING THAT ALL CLAIMS AND DISPUTES SHALL BE RESOLVED BY ARBITRATION UNDER THIS ARBITRATION AGREEMENT. ARBITRATION PROCEDURES ARE TYPICALLY MORE LIMITED, MORE EFFICIENT AND LESS COSTLY THAN RULES APPLICABLE IN A COURT AND ARE SUBJECT TO VERY LIMITED REVIEW BY A COURT. IN THE EVENT ANY LITIGATION SHOULD ARISE BETWEEN YOU AND URANIUM DIGITAL IN ANY COURT IN A SUIT TO VACATE OR ENFORCE AN ARBITRATION AWARD OR OTHERWISE, YOU WAIVE ALL RIGHTS TO A JURY TRIAL, INSTEAD ELECTING THAT THE DISPUTE BE RESOLVED BY A JUDGE.
h) Waiver of Class or Consolidated Actions. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER USER.
i) Waiver of Injunctive or Other Equitable Relief. TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AGREE THAT YOU WILL NOT BE PERMITTED TO OBTAIN AN INJUNCTION OR OTHER EQUITABLE RELIEF OF ANY KIND, SUCH AS ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF THE SERVICES, OR ANY OTHER WEBSITE, APPLICATION, CONTENT, SUBMISSION, PRODUCT, SERVICE, OR INTELLECTUAL PROPERTY OWNED, LICENSED, USED OR CONTROLLED BY ANY URANIUM DIGITAL INDEMNIFIED PARTY.
j) Confidentiality. All aspects of the arbitration proceeding, including but not limited to the award of the arbitrator and compliance therewith, shall be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph shall not prevent a party from submitting to a court of law any information necessary to enforce this Agreement, to enforce an arbitration award, or for Uranium Digital to seek injunctive or equitable relief.
k) Severability. If any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable by a court of competent jurisdiction, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Agreement shall continue in full force and effect.
l) Right to Waive. Any or all of the rights and limitations set forth in this Arbitration Agreement may be waived by the party against whom the claim is asserted. Such waiver shall not waive or affect any other portion of this Arbitration Agreement.
m) Survival of Agreement. This Arbitration Agreement will survive the termination of your relationship with Uranium Digital.
n) Small Claims Court. Notwithstanding the foregoing, either you or Uranium Digital may bring an individual action in small claims court.
o) Emergency Equitable Relief. Notwithstanding the foregoing, either party may seek emergency equitable relief before a state or federal court in order to maintain the status quo pending arbitration. A request for interim measures shall not be deemed a waiver of any other rights or obligations under this Arbitration Agreement.
p) Claims Not Subject to Arbitration. Notwithstanding the foregoing, claims of defamation, infringement or misappropriation of the other party's patent, copyright, trademark, or trade secrets shall not be subject to this Arbitration Agreement.
q) Courts. In any circumstances where the foregoing Arbitration Agreement permits the parties to litigate in court, the parties hereby agree to submit to the personal jurisdiction of the courts located within the Commonwealth of The Bahamas for such purpose.
21. Governing Law
These Terms, and any dispute arising out of or relating to these Terms or the Site, will be governed by, construed, and enforced under the laws of the Commonwealth of The Bahamas, without regard to conflict-of-law rules or principles of any jurisdiction that would require the application of the laws of another jurisdiction. You agree that we may initiate a proceeding relating to the enforcement or validity of our intellectual property rights in any court of competent jurisdiction. For any other proceeding not subject to arbitration under these Terms, the courts of the Commonwealth of The Bahamas will have exclusive jurisdiction. You waive any objection to venue in any such courts.
22. General Information
i. These Terms are subject to occasional revision, and if we make any substantial changes, we may notify you by sending you an e-mail to the last e-mail address you provided to us (if any), and/or by prominently posting notice of the changes on our Website. It is important that you review the Terms whenever we update them or you use the Site. You are responsible for providing us with your most current e-mail address. In the event that the last e-mail address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. Any changes to these Terms will be effective one (1) day following the earlier of our dispatch of an e-mail notice to you (if applicable) or one (1) day following our posting of notice of the changes on our Website. These changes will be effective immediately for new users of our Website and App. Continued use of our Site following notice of such changes shall indicate your acknowledgement of such changes and agreement to be bound by the terms and conditions of such changes.
ii. You consent to receive all communications, agreements, documents, receipts, notices, and disclosures electronically (collectively, our "Communications") that we provide in connection with these Terms or the use of the Site. You agree that we may provide our Communications to you by posting them on the Website or by emailing them to you at the email address you provide in connection with using the Site, if any. You should maintain copies of our Communications by printing a paper copy or saving an electronic copy. You may also contact us with questions, complaints, or claims concerning the Site at support@uraniumdigital.com.
iii. Any right or remedy of Uranium Digital set forth in these Terms is in addition to, and not in lieu of, any other right or remedy whether described in these Terms, under Applicable Law, at law, or in equity. The failure or delay of Uranium Digital in exercising any right, power, or privilege under these Terms shall not operate as a waiver thereof.
iv. The invalidity or unenforceability of any of these Terms shall not affect the validity or enforceability of any other of these Terms, all of which shall remain in full force and effect.
v. We will have no responsibility or liability for any failure or delay in performance of the Site, or any loss or damage that you may incur, due to any circumstance or event beyond our control, including without limitation any flood, extraordinary weather conditions, earthquake, or other act of God, fire, war, insurrection, riot, labor dispute, accident, action of government, communications, power failure, or equipment or software malfunction.
vi. You may not assign or transfer any right to use the Site, or any of your rights or obligations under these Terms, without our express prior written consent, including by operation of law or in connection with any change of control. We may assign or transfer any or all of our rights or obligations under these Terms, in whole or in part, without notice or obtaining your consent or approval.
vii. Headings of sections are for convenience only and shall not be used to limit or construe such sections.
viii. These Terms contain the entire agreement between you and Uranium Digital and supersede all prior and contemporaneous understandings between the parties regarding the Site.
ix. In the event of any conflict between these Terms and any other agreement you may have with us, these Terms will control unless the other agreement specifically identifies these Terms and declares that the other agreement supersedes these Terms.
x. You agree that, except as otherwise expressly provided in this Agreement, there shall be no third-party beneficiaries to the Agreement other than the Indemnified Parties.
xi. A waiver by Uranium Digital of any right or remedy under these Terms shall only be effective if it is in writing, executed by a duly authorized representative of Uranium Digital and shall apply only to the circumstances for which it is given. Our failure to exercise or enforce any right or remedy under these Terms shall not operate as a waiver of such right or remedy, nor shall it prevent any future exercise or enforcement of such right or remedy. No single or partial exercise of any right or remedy shall preclude or restrict the further exercise of any such right or remedy or other rights or remedies.
